1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "User") and CyberForge Software Co. (شركة سايبر فورج لتصميم و برمجة البرمجيات الخاصة), a company based in Kuwait and the operator of the RankUp marketplace ("RankUp," "we," "us," or "our"). These Terms govern your access to and use of the RankUp mobile application, website, and related services (the "Service"). The Service operates as a peer-to-peer marketplace for gaming products in Kuwait and the wider Gulf (Saudi Arabia, UAE, Qatar, Bahrain, and Oman).

By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. These Terms incorporate the principles of the Kuwait Electronic Transactions Law No. 20 of 2014, which gives electronic agreements and signatures the same legal weight as paper ones.

2. Eligibility

• You must be at least 13 years old to create an account. Users under 18 must have permission from a parent or legal guardian and must not make any payment without that consent.
• You must be legally capable of entering into a binding contract under the laws of your jurisdiction.
• You must not be barred from using the Service under the laws of Kuwait or your country of residence.
• You may hold only one personal RankUp account unless we expressly authorize otherwise.

3. The Service

RankUp connects buyers and sellers of gaming-related products — video games, consoles, accessories, gaming PCs, peripherals, board games, collectibles, and similar items.

RankUp is a venue. We are not a party to any sale, exchange, or contract between users. We do not own, sell, resell, ship, inspect, authenticate, or guarantee any item listed on the Service. The seller is solely responsible for the listing, and the buyer and seller are solely responsible for their dealings with each other.

4. Your Account

4.1 Registration

You agree to provide accurate, current, and complete information when creating your account, and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4.2 Account Security

The security of your account is your responsibility. If you believe your account has been accessed without permission, you are expected to take immediate action to secure it yourself first — change your password, sign out of all sessions, review recent activity, secure your email and any linked sign-in providers, and check the device or network that may have been compromised.

After you have secured your account, you may contact us. RankUp is under no obligation to act on such reports. At our sole discretion and on a best-effort basis, we may provide limited assistance — for example, reviewing recent login activity. Because account compromise is generally caused by user-side security failures (weak or reused passwords, phishing, compromised devices, shared credentials) and not by RankUp, the assistance we provide in these matters is limited and we make no commitment as to outcome or timing.

RankUp is not liable for any losses, damages, transactions, listings, messages, lost Gold, or other consequences arising from unauthorized access to your account, regardless of whether the access is reported to us.

4.3 Account Deletion

You may delete your account at any time from Settings > Account > Delete Account in the app, or by contacting us. Deletion is permanent. Some information may be retained as described in our Privacy Policy or as required by Kuwaiti law.

5. Listings & User Content

5.1 Your Responsibility

You are solely responsible for the listings, photos, descriptions, prices, messages, reviews, and any other content you post on the Service ("User Content"). You represent and warrant that:

• You own the item you list and have the legal right to sell it
• Your photos are of the actual item and are not stolen from another seller or website
• Your descriptions are accurate, lawful, and not misleading
• Your User Content does not infringe the rights of any third party
• You will honor every commitment you make in connection with a transaction

5.2 License to Us

By posting User Content, you grant RankUp a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, display, reproduce, watermark, and distribute that content as needed to operate, promote, and improve the Service. You retain ownership of your User Content.

5.3 Moderation

We may review, restrict, hide, watermark, edit, or remove any User Content at our sole discretion, with or without notice, for any reason — including violation of these Terms. We are not obligated to monitor or pre-screen content.

6. Prohibited Items

You may not list, sell, offer, advertise, request, or trade any of the following on the Service. This list is informed by the Kuwait Penal Code, the Anti-Cybercrime Law No. 63 of 2015, and Kuwaiti rules on public morals and religious values:

• Firearms, ammunition, weapons, knives, or weapon accessories
• Drugs, drug paraphernalia, alcohol, tobacco, vapes, e-cigarettes, or shisha products
• Counterfeit, replica, or unauthorized copies of any product
• Stolen goods or items obtained illegally
• Hacked or stolen accounts, leaked credentials, modded consoles intended for piracy, cheats, exploits, or any item used to commit fraud or unauthorized access (a violation of Kuwait's Anti-Cybercrime Law)
• Pirated games, ROMs, cracked software, leaked builds, or anything that infringes intellectual property rights
• Adult, sexual, pornographic, or sexually suggestive content of any kind
• Content that offends religious values, public morals, or the public order of Kuwait
• Items that are illegal in Kuwait or in the buyer's country
• Hateful, racist, sectarian, or politically inflammatory items or content
• Live animals, animal parts, human remains, or hazardous materials
• Currency, financial instruments, gift cards (unless explicitly permitted), cryptocurrency, or anything resembling a security
• Anything that violates applicable law or these Terms

Posting prohibited items will result in listing removal and may result in account suspension or termination. Where required by law, we will report incidents to the competent Kuwaiti authorities.

7. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Harass, threaten, intimidate, defame, blackmail, or impersonate any person
• Post false, misleading, or deceptive information, prices, or photos
• Engage in fraud, chargeback abuse, or payment manipulation
• Bypass, attempt to bypass, or interfere with our payment, fee, moderation, or messaging systems
• Take deals off-platform to avoid fees, moderation, or safety protections after meeting through the Service
• Scrape, crawl, harvest, or copy data from the Service in bulk
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use bots, scripts, automation, or emulators to interact with the Service
• Upload viruses, malware, or any malicious code
• Create multiple, fake, or duplicate accounts, or assist others in doing so
• Manipulate ratings, reviews, search results, or rankings (for example, fake reviews or reciprocal rating schemes)

8. Gold, Payments & Fees

8.1 Gold System

RankUp operates an in-app Gold system. Gold is a non-refundable, non-transferable digital balance used inside the Service for fees and other features. Gold has no monetary value outside the Service, cannot be exchanged for cash, and cannot be cashed out.

8.2 Top-Ups

Gold top-ups are processed through a third-party payment provider. By topping up, you authorize the payment provider to charge your selected payment method. Payment is also governed by the payment provider's own terms and conditions in addition to these Terms.

8.3 Failed or Pending Payments

If you are charged but Gold is not added to your account within 24 hours, contact us with your transaction reference. We will investigate and either credit your account or assist with a refund through the payment provider.

8.4 Refunds

All Gold top-ups are final and non-refundable once Gold has been added to your account, except in the following cases:

• Clear duplicate billing for the same top-up
• Verified system error on our side
• Where a refund is required by Kuwaiti law, including the Consumer Protection Law No. 39 of 2014

Refund requests must be submitted within 14 days of the transaction date.

8.5 Fees

We may charge fees for certain features (for example, listing fees, promoted listings, or transaction fees). Current fees are disclosed in the app at the time of purchase. We may change our fees at any time by posting an update; changes apply to transactions made after the change takes effect.

8.6 Taxes

You are responsible for any taxes that apply to your sales or income on the Service.

9. Transactions Between Users

9.1 We Are Not a Party

RankUp does not handle the exchange of money or items between buyers and sellers. We do not hold funds, escrow goods, ship items, or guarantee delivery, condition, authenticity, quality, or legality of any item.

9.2 Stay Safe

We strongly recommend that you:

• Meet in a public, well-lit place — preferably during the day
• Inspect the item carefully before paying
• Bring someone with you for higher-value deals
• Keep all communication inside the app — it helps if a dispute comes up
• Avoid bank transfers, gift cards, or off-platform payment shortcuts to people you don't know
• Trust your instincts — if something feels off, walk away

9.3 Disputes Between Users

Disputes between users should first be resolved between the parties. We may, at our discretion, provide limited assistance, but we are not obligated to mediate, arbitrate, or compensate either party. Consumer protection rights under the Kuwait Consumer Protection Law No. 39 of 2014 may apply to dealings with traders; you can also approach the relevant Kuwaiti consumer protection authority directly.

10. Intellectual Property

The Service, including the RankUp name, logo, design, software, and content (excluding User Content), is owned by RankUp and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely as permitted by these Terms.

If you believe content on the Service infringes your intellectual property rights, contact us with the subject line "IP Claim" and include a description of the work, the allegedly infringing content (with a link or screenshot), and your contact information.

11. End User License Agreement (EULA)

This section constitutes the End User License Agreement between you and CyberForge Software Co. for the RankUp mobile application.

11.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the RankUp application on mobile devices that you own or control, solely for your personal, non-commercial use of the Service.

11.2 License Restrictions

You agree not to:

• Copy, modify, adapt, translate, or create derivative works of the application
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the application
• Rent, lease, lend, sell, redistribute, or sublicense the application
• Remove, alter, or obscure any proprietary notices, labels, or marks on the application
• Use the application for any purpose other than as permitted by these Terms
• Use the application on any device you do not own or control without the owner's permission

11.3 Updates

We may release updates to the application from time to time. Some updates may be applied automatically. You agree that we may auto-update the application and that these Terms will apply to all such updates.

11.4 License Termination

This license is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any of these Terms. Upon termination, you must stop using the application and delete all copies from your devices.

11.5 Acknowledgment

You acknowledge that the application is licensed, not sold. This agreement does not grant you any rights to trademarks, service marks, or trade names of RankUp or CyberForge Software Co.

11.6 App Store Distribution

If you obtained the application through the Apple App Store or Google Play Store, these Terms are between you and RankUp only — not with the platform provider. The platform provider has no obligation to maintain or support the application, is not responsible for any claims relating to it, and (along with its subsidiaries) is a third-party beneficiary of these Terms.

12. Suspension & Termination

We may suspend, restrict, or terminate your account or access to the Service at any time, with or without notice, if we believe in good faith that:

• You have violated these Terms or any applicable law
• Your activity poses a risk to other users, the Service, or third parties
• You have engaged in fraud, abuse, or harmful conduct
• Continued provision of the Service to you is no longer commercially reasonable

You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.

We do not warrant the accuracy, completeness, or reliability of any User Content, listing, or transaction. We do not guarantee that the Service will be secure, error-free, free of viruses, or always accessible.

14. Limitation of Liability

To the maximum extent permitted by law, RankUp and its officers, employees, affiliates, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of the Service.

Our total cumulative liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the total amount you have paid to RankUp in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) twenty-five (25) Kuwaiti Dinars.

Nothing in these Terms limits any right you may have under Kuwaiti consumer protection law that cannot be limited or excluded by contract.

15. Indemnification

You agree to indemnify, defend, and hold harmless RankUp and its officers, employees, affiliates, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service, (b) your User Content, (c) your transactions with other users, (d) your violation of these Terms, or (e) your violation of any applicable law or third-party rights.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Kuwait, without regard to conflict of law principles. The competent courts of Kuwait have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, unless mandatory local law in your country of residence requires otherwise.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we update the "Last Updated" date and, for material changes, notify you through the app or by email. Your continued use of the Service after the change becomes effective means you accept the revised Terms. If you do not agree, stop using the Service and delete your account.

18. General

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and RankUp regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely.
• No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and RankUp.
